These Terms constitute a legally binding agreement between you ("User", "you", "your") and Thothii. Your continued use of the Service constitutes acceptance of any updates to these Terms.
2. Description of Service
Thothii is an AI-powered legal document drafting platform designed to assist legal professionals in generating draft legal documents. The Service is intended for use by licensed attorneys, paralegals, legal assistants, and law firms.
Thothii is a drafting assistance tool only. It does not constitute legal advice, legal representation, or the practice of law.

3.1 All documents generated by Thothii are AI-generated drafts and must be reviewed, edited, and approved by a licensed attorney before use in any legal matter.
3.2 Thothii makes no representations or warranties that any generated document is accurate, complete, legally sufficient, enforceable, or appropriate for any specific jurisdiction or situation.
3.3 You assume full responsibility for reviewing, verifying, and approving any document generated by the Service before use.
3.4 Thothii is not a law firm and does not provide legal advice. No attorney-client relationship is created by use of the Service.
3.5 Thothii shall not be liable for any damages, losses, or legal consequences arising from the use of AI-generated documents, including but not limited to:

4. Eligibility
4.1 You must be at least 18 years of age to use the Service.
4.2 By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement.
4.3 The Service is intended for professional use by legal professionals. By registering, you confirm that you are a licensed attorney, paralegal, legal assistant, or authorized representative of a law firm.
4.4 Thothii reserves the right to terminate accounts that misrepresent professional status.
5. Account Registration
5.1 You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration.
5.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
5.3 You must notify us immediately at support@thothii.com if you suspect unauthorized access to your account.
5.4 Thothii reserves the right to suspend or terminate accounts that violate these Terms.
6. Subscription, Billing & Trial
6.1 Free Trial. Thothii offers a 30-day free trial. A valid payment method is required to start the trial. You will not be charged during the trial period.
6.2 Automatic Renewal. At the end of the trial period, your chosen subscription plan will automatically activate and your payment method will be charged unless you cancel before the trial ends.
6.3 Subscription Plans. Thothii offers Monthly ($499/month) and Annual ($4,990/year) subscription plans. Prices are subject to change with 30 days notice.
6.4 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.
6.5 Refunds. All payments are non-refundable except where required by applicable law. In exceptional circumstances, refund requests may be considered at Thothii's sole discretion.
6.6 Failed Payments. If payment fails, Thothii reserves the right to suspend access until payment is resolved.
6.7 Price Changes. Thothii reserves the right to modify subscription prices. Users will be notified at least 30 days in advance of any price change.
7. Acceptable Use
You agree not to use the Service to:
7.1 Generate documents intended to facilitate fraud, deception, or illegal activity.
7.2 Violate any applicable local, state, national, or international law or regulation.
7.3 Infringe upon the intellectual property rights of any third party.
7.4 Harass, abuse, or harm any person or entity.
7.5 Attempt to reverse engineer, decompile, or extract the source code of the Service.
7.6 Use automated tools, bots, or scrapers to access the Service without written permission.
7.7 Share your account credentials with unauthorized third parties.
7.8 Use the Service to train competing AI models or products.
7.9 Upload malicious code, viruses, or any content designed to disrupt the Service.
Violation of these terms may result in immediate account termination without refund.
8. Intellectual Property
8.1 Your Content. You retain ownership of all content you input into the Service and all documents generated using your inputs.
8.2 Our Content. Thothii retains all rights to the Service, including its software, design, templates, algorithms, and AI models. Nothing in these Terms transfers ownership of Thothii's intellectual property to you.
8.3 License to Use. Thothii grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription period.
8.4 Feedback. Any feedback, suggestions, or ideas you provide about the Service may be used by Thothii without compensation or attribution to you.
9. Data & Privacy
9.1 Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9.2 You are responsible for ensuring that any personal data you input into the Service complies with applicable data protection laws, including but not limited to GDPR and CCPA.
9.3 Thothii uses industry-standard security measures to protect your data but cannot guarantee absolute security. You acknowledge that no system is completely secure.
9.4 In the event of a data breach, Thothii will notify affected users as required by applicable law.
10. Confidentiality
10.1 You acknowledge that documents generated using the Service may contain sensitive client information. You are solely responsible for maintaining the confidentiality of such information in accordance with applicable professional conduct rules and attorney-client privilege obligations.
10.2 Thothii staff do not access your documents except as required to provide technical support or as required by law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
11.1 Thothii shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities.
11.2 Thothii's total cumulative liability to you for any claims arising from or related to the Service shall not exceed the total amount paid by you to Thothii in the 12 months preceding the claim.
11.3 Thothii is not liable for:
Errors in AI-generated documents
Downtime or service interruptions
Data loss due to technical failures
Actions of third-party service providers
Force majeure events including natural disasters, pandemics, war, government actions, or infrastructure failures beyond our control
12. Indemnification
You agree to indemnify, defend, and hold harmless Thothii, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any legal consequences arising from documents you generate and use
Your misrepresentation of professional status
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
THOTHII DOES NOT WARRANT THAT:
The Service will be uninterrupted or error-free
Generated documents will be legally sufficient or enforceable
The Service will meet your specific requirements
Any errors will be corrected
14. Service Availability & Modifications
14.1 Thothii reserves the right to modify, suspend, or discontinue the Service at any time with or without notice.
14.2 Thothii may perform scheduled or emergency maintenance that temporarily interrupts access to the Service.
14.3 Thothii is not liable for any losses resulting from service interruptions or modifications.
14.4 Features and functionality may change over time. Continued use of the Service after changes constitutes acceptance.
15. Third-Party Services
15.1 The Service integrates with third-party providers including Stripe (payments), Anthropic (AI), Resend (email), and others. Your use of these services is subject to their respective terms and privacy policies.
15.2 Thothii is not responsible for the actions, content, or availability of third-party services.
15.3 Thothii is not liable for any damages arising from third-party service failures, including payment processing errors or AI model unavailability.
16. Termination
16.1 You may terminate your account at any time by cancelling your subscription and requesting account deletion.
16.2 Upon account deletion, your data will be permanently deleted after a 7-day grace period during which you may cancel the deletion request.
16.3 Thothii reserves the right to suspend or terminate your account immediately without notice if you violate these Terms.
16.4 Upon termination, your license to use the Service ends immediately.
16.5 Sections 3, 8, 11, 12, 13, and 17 survive termination of these Terms.
17. Governing Law & Dispute Resolution
17.1 These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
17.2 Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation.
17.3 If negotiation fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English.
17.4 You waive any right to participate in class action lawsuits or class-wide arbitration against Thothii.
17.5 Notwithstanding the above, Thothii reserves the right to seek injunctive relief in any court of competent jurisdiction.
18. Changes to Terms
18.1 Thothii reserves the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service.
18.2 Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
18.3 If you do not agree to updated Terms, you must stop using the Service and cancel your subscription.
19. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Thothii regarding your use of the Service and supersede all prior agreements.
